Understanding the Legal Structure

It is critical that Projects understand the following about their legal relationship to MakeWay:

  • There is no legal distinction between Projects and MakeWay. Under the Shared Platform model, Projects are a part of MakeWay. 
  • MakeWay has full governance, legal, and fiduciary responsibility for all Projects and their activities. MakeWay’s senior management team and Board of Directors are ultimately responsible for projects.
  • Because Projects do not have a separate legal identity or authority, they cannot enter into contracts, receive funds, or operate programs independently.
  • Local direction over each Project is established through a Terms of Reference. This document outlines how MakeWay's Board of Directors and senior management team delegates day-to-day operations and strategy for projects to the Project Director and the Project’s Steering Committee.

Note: MakeWay Projects are legally part of a charity. This means that Projects must follow all CRA charitable regulations. Projects should consult with their Project Specialist if they have any questions about these regulations.
